GridPro Terms of Service

Effective Date: December 3, 2025

These Terms of Service ("Terms") govern your use of the GridPro application, including all related features, services, and content (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree with any part of these Terms, you must not use the Service.

2. Intellectual Property Rights

FireDance Media wholly owns and retains all right, title, and interest in and to the Service, including, but not limited to:

• The underlying software code and architecture.
• The visual design, look, and feel of the platform.
• The specific analytical functions, algorithms, and models used to process data.
• All trademarks, service marks, graphics, and logos used in connection with the Service.

Your use of the Service grants you no rights to reproduce, distribute, modify, or create derivative works of any of our proprietary elements without explicit written permission from FireDance Media.

3. User Content Ownership and License

3.1. Ownership

You retain all ownership rights to the data and information you enter, store, or manage within the GridPro App ("User Content"). GridPro claims no ownership over your User Content.

3.2. Limited License to GridPro

By using the Service, you grant GridPro and FireDance Media a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use your User Content in a wholly anonymized and aggregated form, strictly for the purpose of improving and optimizing the Service.

This anonymized, amalgamated data may be used to:

• Enhance the accuracy of regional data modeling for cleaner energy deployment.
• Identify heavily used locations or trends, which may be shared with regional utilities to support planning and implementation of grid tie-ins where they may have maximum potential.
• Develop a more comprehensive and accurate library of clean energy equipment.

Crucially, GridPro will not sell your individual, identifiable User Content to any third party.

4. Account Management and Termination

4.1. Real Person Requirement

To maintain the integrity and security of the Service, your user account must be associated with a verified email address corresponding to a real person. GridPro reserves the right to periodically review accounts and may remove, suspend, or terminate accounts that are found not to be associated with a real person or lack a verifiable email address, at our sole discretion.

4.2. Termination by User

You may terminate your account at any time by following the account deletion process within the App settings. Upon termination, the data retention policy outlined in our Privacy Policy will take effect.

4.3. Termination by GridPro

We may terminate or suspend your account access immediately, without prior notice or liability, if you breach these Terms.

5. Corporate Acquisition and Change of Ownership

In the event that GridPro, FireDance Media, or substantially all of its assets associated with the Service, are acquired by a third party, your personal information and associated User Content may be among the transferred assets.

If such an acquisition occurs, we will provide you with prior notification of the change in ownership. This notification will grant you a reasonable opportunity to manage your own data, including the option to download and/or permanently delete your account and User Content, before the transfer is completed. The acquiring entity will be bound by the terms of this Privacy Policy and Terms of Service, or will notify you of any subsequent material changes to these policies.

6. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis. We make no warranty that the Service will be uninterrupted, secure, or error-free. To the maximum extent permitted by applicable law, GridPro and FireDance Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in British Columbia, Canada.

8. Changes to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
